branches of international companies. Drafting and advising on shareholder agreements,
international joint venture agreements, Put Option and Call Option agreements, private and
inter-group loans. Corporate and corporate structuring advice to family conglomerates in
France and Switzerland as well as HNWI with respect to their businesses in Dubai.

franchise in Dubai. Drafting and advising on a board range of agreements such as franchise,

❖ Hospitality (UAE) - Representing an owner with legal issues around in the construction of
boutique hotel in Dubai, drafting sale and pool agreements for the sale of hotel units.
Project value AED120 million. Supporting hotels in the United states (California, New York,
Hawaii, in their search for investors in the United Arab Emirates, providing legal support.

❖ Commodities (UAE) - Advising and providing support on corporate issues to the world
renowned “Emperor of Pearls”. Corporate structuring and company formation services for
a Swiss client with gold mining operations in Africa. Setting up an entity in Dubai including
subsidiaries and joint ventures in Africa. Forming affiliations with gold depository service
providers in Dubai for the storage of gold bars for HNWI clients.

❖ Mergers & Acquisitions (UAE) - Advising and handling a high value mergers and acquisitions
deals in the pharmaceuticals and food and beverage industries in the UAE. Preparing and
negotiating all legal documentation and supporting clients with due diligence investigations
including Asset and Share Purchase agreements.

❖ Mining (UAE) - Representing entrepreneurs and investors with regards to a lime stone
mining in Maliha, Sharjah, UAE.

❖ Oil & Gas (UAE) - Solid track record of working for oil and gas companies in the UAE as in-
house counsel and as external advisor. Managing contractual arrangements, advising and
providing support to a government owned oil & gas company in Sharjah, Work for the Royal
Family in Abu Dhabi on oil & gas service and commercial agency contracts. Solid track record of working for oil and gas companies in the UAE.
